Bylaws
Article I Name
Section 1. The name of this organization shall be Friends of the Hillsboro Community Library (hereafter
referred to as the Friends)
Article II Purpose
Section 1. The purpose of the Friends shall be to maintain an association of persons interested in libraries; to focus public attention on the library; to stimulate the use of the library's resources; to receive and encourage gifts, endowments and bequests to the library; to support and cooperate with the library in developing library services and facilities for the community; and to support the freedom to read as expressed in the American Library Association Bill of Rights.
Section 2. The Friends shall do no lobbying nor shall any of its members derive a benefit from its operation, directly or indirectly.
Section 3. The Friends is a non-profit, educational and charitable organization.
Article III Membership
Section 1. Membership in the Friends shall be open to all individuals or institutions in sympathy with its purposes and who pay annual dues.
Section 2. Classifications of membership and their dues shall be:
Individual $5.00
Family $8.00
Institutional $25.00
Patron $25.00
Sponsor $50.00
Life $100.00
Section 3. Each member in good standing shall be entitled to one vote.
Article IV Officers
Section 1. The elected officers of the Friends shall be President, Vice-president, and Secretary/treasurer. A representative to the Hillsboro Library Board shall be elected from the membership and may be one of the elected officers.
Section 2. Nominations may be made from the floor at the annual meeting with the consent of the nominees.
Section 3. Officers shall be elected by majority vote of those present at the annual meeting. Officers shall be elected for a term of one year, and may be re-elected for a second successive term.
Section 4. The representative to the Hillsboro Library Board shall be elected for a two year term in odd numbered years, and may be re-elected for a second successive term.
Section 5. Any vacancy of an office shall be filled by the Friends Board of Directors for the remainder of the term.
Article V Duties of Officers
Section 1. The President shall preside over and conduct meetings of the membership and the Friends Board of Directors, appoint all committees, and shall be an ex-officio member of all committees.
Section 2. The Vice-president shall be President-elect, assist the President, assume the duties of the President in the absence of the President, chair the Membership Committee, and shall serve on the Friends Board of Directors.
Section 3. The Secretary/treasurer shall take the minutes of all membership and board meetings, keep a list of membership, conduct the correspondence and keep and maintain the financial records of the organization, and serve on the Friends Board of Directors.
Article VI Meetings
Section 1. The Friends shall hold at least one general membership meeting each year.
Section 2. The annual meeting shall be held in the first week of February. Members shall be given written notification of the annual meeting at least two weeks prior to the date.
Section 3. A special meeting of the Friends may be called at any time by the Friends Board of Directors. Members shall be given reasonable notification of any such meeting.
Section 4. A quorum shall consist of five (5) members present.
Section 5. The parliamentary authority shall be Roberts Rules of Order.
Article VII Friends Board of Directors
Section 1. The Board shall consist of the elected officers of the Friends, the elected representative to the Hillsboro Library Board, the chairmen of all standing committees, and one local student representative appointed by the President.
Section 2. The Board shall meet at least once prior to the annual meeting.
Section 3. A quorum shall consist of three members.
Article VIII Committees
Section 1. Standing committees shall be: Fundraising, booksale, and membership.
Section 2. Additional committees shall be established by the President as needed.
Article IX Finance
Section 1. The fiscal year shall be from January 1 through December 31.
Section 2. Dues of continuing members are payable before March 1. Dues of new members are payable upon joining. Dues paid after October 31 are for the following year's membership.
Article X Amendments
Section 1. Amendments to these bylaws, upon pre-approval by the Friends Board of Directors, may be made at any meeting of the general membership by a two-thirds vote of those present provided written notice of the proposed amendment has been given to each member at least two weeks prior to the meeting.
Article XI Dissolution
Section 1. Upon dissolution of the Friends its assets shall be distributed according to a majority vote of Friends members at a general membership meeting.
