January 25, 2005

The Village of Capitan Board of Trustees held a Special Joint meeting on January 25, 2005 at the Recreation Center in Carrizozo, New Mexico. Mayor Sederwall called the meeting to order at 7:00 pm. Trustees present were George Tippin, Ed Davis, Bobbi Shearer. Absent was Bill Martin.

Pledge of Allegiance and Pledge to the New Mexico Flag.

The Town of Carrizozo attorney commented on the requirements of the sale of Capitan/Carrizozo Natural Gas Company. The State Statue 3-54-1 is the guidelines to follow for the sale. The Town of Carrizozo and Village of Capitan would adopt an ordinance approve the sale 45 days after the sale.

Mayor Sederwall motion that the sale of the lines and meters needs to be what goes out for RFP for sale. The equipment and building be negotiation between the two towns.

Motion by Trustee Shearer seconded by Trustee Davis to go into executive session at 7:20 pm. All in favor, motion carried.

Motion by Trustee Davis seconded by Trustee Shearer to go back into regular session at 7:45 pm. All in favor, motion carried.

Trustee Shearer attested that the only thing discussed was Threatened Litigation and Sale of Real Property of CCNG.

Motion by Trustee Shearer seconded by Trustee Davis authorized the two town attorneys to draft RFP to sale, lease or other wise dispose of the Capitan/Carrizozo Natural Gas Business with an option to sell or lease the building and authorize the two Mayors to negotiate the remaining equipment separately with advice and consent of the two boards. Roll Call: Trustee Tippin yes, Trustee Davis yes, Trustee Shearer yes.

Motion by Trustee Shearer seconded by Trustee Tippin authorizes the attorneys to seek an appraiser. All in favor, motion carried.

Mayor Sederwall wants a special meeting for Thursday, January 27 during the day, for the gas board to lower the gas rates to last year's rate.

Motion by Trustee Tippin seconded by Trustee Shearer to adjourn the meeting at 7:55 pm. All in favor, motion carried.
